Terms of Service

These Terms of Service ("Terms") govern access to and use of the QoinPay platform, portals, hosted checkout and APIs (the "Services") provided by QoinPay Technologies ("QoinPay", "we", "us") of 14 Adeola Odeku Street, Victoria Island, Lagos, Nigeria. By creating an account or using the Services you agree to these Terms. Enterprise, bank and government customers may operate under a separately negotiated master agreement, which prevails over these Terms where they conflict.

1. The Services

QoinPay provides payment infrastructure: transaction acceptance and routing, fraud screening, authentication, tokenization, prepaid issuing, recurring billing and government revenue collection. QoinPay is a technology provider; where regulated activities are involved, they are performed by, or in partnership with, appropriately licensed institutions. We do not provide banking services or hold deposits.

2. Accounts, onboarding and KYC

You must provide accurate registration information and keep it current. Live processing requires successful completion of our know-your-customer review, and we may request further documentation at any time to satisfy legal or scheme obligations. You are responsible for safeguarding your credentials and API keys; anything done with them is attributed to you. Notify us immediately of any suspected compromise.

3. Acceptable use

You may not use the Services for unlawful activity, for goods or services on our prohibited-business list, to process transactions on behalf of undisclosed third parties, or in any way that circumvents fraud controls, misrepresents transaction purpose, or harms the platform, other users or the payment networks. We may refuse, reverse or hold transactions that we reasonably believe breach these Terms or the rules of a card scheme, bank or regulator.

4. Fees and settlement

Fees are charged per successful transaction according to your pricing plan, published at qoinpay.com/pricing or set out in your agreement, and are deducted before settlement. Settlement timing depends on the payment method and your settlement schedule. We may withhold or offset amounts to cover refunds, chargebacks, fines passed through by schemes, or reasonably anticipated losses, and will account for any amounts withheld.

5. Refunds, chargebacks and reversals

You are responsible for your refund policy and for chargebacks and their associated scheme fees. When a chargeback or reversal occurs, you authorize us to debit the relevant amount from your balance or upcoming settlements. Sustained excessive chargeback ratios may result in reserves, processing limits or termination as required by scheme rules.

6. Data protection and security

Each party will comply with applicable data-protection law, including the NDPR and, where applicable, the GDPR. Our processing of personal data is described in the Privacy Policy, and our technical measures in the Security & Compliance overview. You must verify webhook signatures, protect credentials, and must not store full card numbers outside PCI-compliant systems.

7. Intellectual property

QoinPay and its licensors own the Services, including all software, APIs, documentation and branding. We grant you a limited, non-exclusive, non-transferable licence to use the Services for your business while these Terms are in force. You retain all rights in your own data and content.

8. Availability and support

We target 99.99% platform availability but the Services are provided "as is" to the extent permitted by law; scheduled maintenance is announced in advance where practicable. Support is available to all live merchants, with enhanced service levels available under enterprise agreements.

9. Liability

Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud. Subject to that, neither party is liable for indirect or consequential loss, loss of profit or loss of data, and QoinPay's aggregate liability in any twelve-month period is limited to the fees you paid to QoinPay in that period. You indemnify us against losses arising from your breach of these Terms, your products, or your violation of scheme rules or law.

10. Suspension and termination

You may close your account at any time once outstanding obligations are settled. We may suspend or terminate the Services for material breach, legal or scheme requirement, unacceptable risk, or prolonged inactivity — with notice where the circumstances permit. Sections concerning fees, chargebacks, liability, and data survive termination, and residual funds are settled after applicable holdback periods.

11. Changes, governing law and disputes

We may update these Terms by posting a revised version with an updated date; material changes will be notified at least 30 days in advance, and continued use constitutes acceptance. These Terms are governed by the laws of the Federal Republic of Nigeria, and disputes are subject to the exclusive jurisdiction of the courts of Lagos State, save that enterprise agreements may specify a different governing law and forum.
